Terms and Conditions – Producers

1. Acceptance of Terms
By completing this form, the candidate agrees to the following Terms and Conditions applicable to the Content generated in case of being selected:
Moseya S.A. (Boomit), RUT 218363810019 (hereinafter referred to as “The Agency”) is a company dedicated to Advertising and Digital Media. As part of its activities, the Agency provides its services to various clients (the “Client”), who require the creation of content for advertising purposes.
2. Content Creation
The Agency requests Content Creators who are of legal age to create audiovisual content according to the requirements and guidelines set for each case, which will be communicated to these creators after being selected.
The Content Creator will receive a one-time payment for such content, which will be agreed upon once the selection process is completed.
3. Assignment of Rights
By accepting these terms and proceeding with registration in the form, the Content Creator agrees that, once selected, they assign the created content to The Agency (including but not limited to: photographs, videos, audio, or fragments thereof) for use by The Agency and the Client in their various advertising and/or commercial campaigns. This assignment includes the express authorization for the use of the Content Creator’s image and voice in the content, transferring the image rights to the Agency and the Client. This authorization extends to any type of medium or platform, whether digital or not.
4. Content Creator’s Responsibility
The above provisions are limited only by the requirement not to affect the good name and honor of the Content Creator, as well as any limitations imposed by the laws of the Republic of Uruguay.
The Content Creator will be responsible for any claims that may arise regarding the authorship and originality of the submitted photos, videos, and phrases, including but not limited to image rights of people appearing in them.
In this regard, the Content Creator declares and guarantees that they are of legal age and that all identifying information is accurate; that they are the author of the submitted material and that it is original; that the photographs were obtained with the consent of the people appearing in them, and that such persons or their legal representatives accept the submission and use by The Agency and/or the Client as outlined in these Terms and Conditions.
5. Non-Competition Clause
The Content Creator agrees not to establish any direct commercial relationship with the Clients of The Agency with whom they have had direct or indirect contact through the projects managed by The Agency. All commercial relationships must be channeled exclusively through The Agency as the intermediary. Furthermore, the Content Creator agrees not to work directly with such Clients, neither during the term of this agreement nor for a period of 24 months following the completion of any project they have participated in, for the purpose of creating or generating content related to the Client’s products or services for advertising purposes. The Content Creator acknowledges that any direct contact or commercial relationship with the Clients of The Agency will be considered a breach of this agreement and may lead to the immediate termination of the relationship with The Agency, as well as the possibility of claiming damages.
6. Assignment of Third Parties
The authorization granted here extends to all third parties, whether natural or legal persons, expressly authorized by The Agency or to whom the rights to the referred Content are assigned, who must use it under the conditions set forth in these Terms and Conditions.
7. Protection of Personal Data
Personal data will be processed in accordance with the provisions of Law N°18.331.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of the Oriental Republic of Uruguay. Any disputes shall be submitted to the ordinary courts located in Montevideo.
